Terms of Service

These Terms of Service ("Terms") govern access to and use of Adanse, operated by Stnikens Ltd, company number 12073283, registered in England and Wales with its registered office at Blackwood Grove, Halifax.

By creating an account, accessing or using Adanse, you agree to these Terms.

If you use Adanse on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. Adanse

Adanse is an AI-powered business platform designed to connect organisational systems, data, knowledge and processes and enable organisations to use AI Employees, AI agents, Business Memory, workflows, integrations and related functionality.

Adanse may provide functionality including:

  • AI Employees;
  • AI agents;
  • Business Memory;
  • organisational intelligence;
  • knowledge retrieval;
  • workflow automation;
  • task execution;
  • integrations;
  • API connectivity;
  • MCP connectivity;
  • analysis;
  • recommendations;
  • approvals;
  • audit trails;
  • governance;
  • monitoring; and
  • outcome tracking.

Features may change as the service develops.

2. Eligibility and Business Use

Adanse is primarily intended for organisations and persons acting in a professional or business capacity.

You must have legal capacity to enter into these Terms.

If an organisation provides your account, your organisation may administer your access and may control information associated with that account.

3. Accounts

You are responsible for:

  • providing accurate account information;
  • protecting authentication credentials;
  • maintaining appropriate account security;
  • activity performed using your account;
  • notifying us of suspected unauthorised access; and
  • complying with your organisation's security requirements.

Accounts must not be shared in a manner that circumvents licensing, security or access controls.

4. Customer Administrators

Organisation administrators may:

  • create and remove users;
  • assign permissions;
  • configure AI Employees;
  • configure integrations;
  • control data sources;
  • establish workflows;
  • configure approvals;
  • manage organisational settings; and
  • access relevant audit information.

Customers are responsible for appointing appropriate administrators and configuring permissions responsibly.

5. Customer Content

"Customer Content" means information submitted, uploaded, connected, generated, transmitted or otherwise made available by or on behalf of a customer through Adanse.

Customers retain ownership of their Customer Content.

The customer grants Stnikens Ltd a limited, non-exclusive licence to host, copy, transmit, process, display and otherwise use Customer Content only as reasonably necessary to:

  • provide Adanse;
  • perform requested processing;
  • maintain security;
  • provide support;
  • comply with law; and
  • fulfil applicable contractual obligations.

6. Customer Responsibilities

You are responsible for ensuring that:

  • you have the necessary rights to provide Customer Content;
  • your use of Adanse complies with applicable law;
  • connected systems are authorised;
  • permissions are appropriately configured;
  • AI Employees receive appropriate authority;
  • workflows are appropriately controlled;
  • human approvals are used where appropriate;
  • outputs are reviewed before material reliance where appropriate; and
  • Adanse is not used for prohibited activities.

7. AI Functionality

Adanse includes artificial intelligence functionality.

You acknowledge that AI systems are probabilistic and may produce output that is:

  • inaccurate;
  • incomplete;
  • misleading;
  • outdated;
  • inappropriate;
  • inconsistent; or
  • factually incorrect.

AI output must not automatically be treated as professional, legal, financial, accounting, medical or other regulated advice.

You are responsible for determining whether output is appropriate for your intended use.

8. AI Employees and Agents

Adanse may allow customers to create, configure or deploy AI Employees and agents capable of performing tasks.

AI Employees may be provided with:

  • goals;
  • roles;
  • instructions;
  • knowledge;
  • tools;
  • integrations;
  • permissions;
  • workflows;
  • autonomy levels; and
  • approval requirements.

The customer controls the authority granted to its AI Employees and is responsible for configuring that authority appropriately.

Customers should use human approval for high-impact actions where appropriate.

9. Connected Systems

Adanse may interact with third-party services selected by the customer.

By connecting a service, you authorise Adanse to access and process information through that connection to the extent necessary to perform requested functionality.

You are responsible for ensuring you have authority to make the connection.

Third-party services remain subject to their own terms, availability and technical limitations.

We are not responsible for changes, interruptions or failures caused by third-party services outside our reasonable control.

10. Acceptable Use

You must not use Adanse to:

  • violate applicable law;
  • infringe intellectual-property rights;
  • unlawfully process personal data;
  • gain unauthorised access to systems or information;
  • distribute malware;
  • circumvent security controls;
  • conduct phishing or fraud;
  • interfere with Adanse infrastructure;
  • attempt to extract credentials or secrets;
  • abuse APIs or integrations;
  • intentionally generate or distribute unlawful content;
  • impersonate another person unlawfully;
  • facilitate harmful cyber activity;
  • circumvent usage limits;
  • resell access without authorisation; or
  • use the service in a manner that materially threatens the security or availability of Adanse or others.

We may investigate suspected violations and restrict or suspend access where reasonably necessary.

11. High-Risk Uses

Unless expressly agreed with Stnikens Ltd and subject to appropriate safeguards, Adanse should not be relied upon as the sole decision-maker for decisions involving:

  • employment;
  • credit;
  • insurance;
  • healthcare;
  • legal rights;
  • access to essential services;
  • physical safety; or
  • other decisions likely to have significant effects on individuals.

Customers remain responsible for determining whether their particular use is subject to sector-specific or AI-specific regulation.

12. Human Oversight

Adanse may provide approval mechanisms and human-in-the-loop controls.

Customers are responsible for deciding when human approval is required.

Enabling autonomous functionality constitutes an instruction to Adanse to perform authorised actions within the permissions and controls configured by the customer.

13. Subscriptions and Billing

Some Adanse functionality may require a paid subscription.

Applicable:

  • pricing;
  • usage allowances;
  • billing intervals;
  • subscription limits;
  • features; and
  • commercial terms

will be shown at purchase or set out in an applicable order form.

Fees are exclusive of taxes unless otherwise stated.

14. Subscription Renewal

Where a subscription automatically renews, this will be disclosed during purchase or in the applicable order form.

Unless otherwise stated, subscriptions continue for the applicable billing period until cancelled in accordance with the applicable commercial terms.

15. Usage Limits

Plans may include limits concerning:

  • users;
  • AI usage;
  • AI Employee runs;
  • storage;
  • integrations;
  • API requests;
  • automation;
  • Business Memory;
  • compute; or
  • other resources.

We may apply reasonable technical limits to protect service availability and enforce subscription entitlements.

16. Intellectual Property

Adanse, including its:

  • software;
  • interfaces;
  • platform architecture;
  • designs;
  • trademarks;
  • documentation;
  • technology; and
  • underlying intellectual property

is owned by Stnikens Ltd or its licensors.

Except for rights expressly granted under these Terms, no intellectual-property rights are transferred to customers.

17. AI Output

As between Stnikens Ltd and the customer, and subject to applicable law and third-party rights, Stnikens Ltd does not claim ownership of Customer Content merely because it is processed by Adanse.

To the extent Stnikens Ltd has rights in output generated specifically for a customer through its use of Adanse, we grant the customer the right to use that output as part of its use of the service, subject to applicable law and these Terms.

AI-generated material may not be unique, and similar output may be generated for other users.

18. Feedback

If you voluntarily provide product feedback, ideas or suggestions, you permit us to use that feedback to improve Adanse without restriction or payment, provided we do not thereby acquire ownership of unrelated Customer Content.

19. Confidentiality

Each party may receive confidential information belonging to the other.

Each party agrees to take reasonable steps to protect confidential information and use it only for purposes connected with the relationship.

Confidential information does not include information that:

  • is publicly available without breach;
  • was lawfully known beforehand;
  • is independently developed; or
  • is lawfully received from another source without confidentiality obligations.

20. Data Protection

Each party must comply with applicable data-protection law.

Where Stnikens Ltd processes personal data on behalf of a customer, the parties may enter into a Data Processing Agreement.

Our processing as controller is described in the Adanse Privacy Policy.

21. Security

Stnikens Ltd uses reasonable technical and organisational safeguards designed to protect the service and customer information.

Customers are responsible for securing their:

  • accounts;
  • credentials;
  • devices;
  • integrations;
  • API keys;
  • connected systems; and
  • permissions.

No information system can be guaranteed completely secure.

22. Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability unless expressly agreed in a separate service-level agreement.

We may modify Adanse to:

  • add functionality;
  • improve performance;
  • address security issues;
  • comply with law;
  • respond to technological changes; or
  • discontinue functionality.

Where practicable, we will provide reasonable notice of changes that materially reduce core paid functionality.

23. Beta and Preview Features

Certain features may be identified as beta, experimental, preview or early access.

Such functionality may:

  • change;
  • contain defects;
  • be unavailable;
  • have limited support; or
  • be discontinued.

Beta functionality should not be relied upon for critical production operations unless expressly agreed.

24. Suspension

We may suspend or restrict access where reasonably necessary because of:

  • security risk;
  • suspected unlawful activity;
  • material breach;
  • non-payment;
  • abuse;
  • threats to platform stability; or
  • legal requirements.

Where appropriate, we will attempt to notify the affected customer.

25. Termination

Either party may terminate services in accordance with the applicable subscription or order terms.

Upon termination:

  • access may cease;
  • integrations may be disconnected;
  • Customer Content may become unavailable;
  • outstanding amounts remain payable; and
  • information may subsequently be deleted according to applicable retention processes.

Customers should export information they require before termination where export functionality is available.

26. Disclaimers

To the fullest extent permitted by law, Adanse is provided on an "as available" basis.

We do not warrant that:

  • AI output will always be accurate;
  • the service will always be uninterrupted;
  • every error will be corrected;
  • every integration will remain available;
  • Adanse will satisfy every customer requirement; or
  • AI-generated output will be suitable for a particular decision.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

27. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation or other liability that cannot legally be excluded.

Subject to the above and unless an applicable order form states otherwise, Stnikens Ltd will not be liable for indirect or consequential loss, loss of profits, loss of anticipated savings, loss of goodwill or loss of business opportunity arising from use of Adanse.

Any contractual liability cap applicable to paid services should be stated in the applicable order form or commercial agreement.

28. Indemnity

To the extent permitted by law, business customers agree to be responsible for claims arising from their unlawful use of Adanse, unlawful Customer Content or material breach of these Terms.

This provision does not apply to the extent a claim results from Stnikens Ltd's own breach or unlawful conduct.

29. Force Majeure

Neither party will be liable for failure or delay caused by circumstances beyond its reasonable control, subject to applicable law.

30. Changes to These Terms

We may update these Terms from time to time.

Where changes materially affect existing paid customers, we will seek to provide reasonable notice.

Continued use following the effective date of updated Terms constitutes acceptance where legally permitted.

31. Governing Law

These Terms and disputes arising from them are governed by the laws of England and Wales, unless mandatory applicable law requires otherwise.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply.

32. General

If part of these Terms is held unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive it.

You may not assign your rights under these Terms without our consent, except where applicable law provides otherwise.

We may assign these Terms in connection with a corporate restructuring, financing, merger, acquisition or sale of our business.
